These terms apply to your use of Provixaa operated by Provixaa.
This document is provided for product transparency. It is not legal advice. Have qualified counsel review before relying on it in regulated or enterprise contexts.
1. Agreement
These Terms of Service ("Terms") govern access to and use of the Provixaa platform and related services (the "Service") operated by Provixaa ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms (version 2026-06-25) and our Privacy Policy.
If you are signing up on behalf of a company, you represent that you have authority to bind that company to these Terms.
2. The Service
Provixaa is an AI-Powered Margin Intelligence Platform for IT services and product delivery organizations. It provides sprint-level margin analytics, leakage governance, portfolio dashboards, fixed-cost and time-and-materials commercial views, optional AI-assisted insights (Aria), and exportable executive reports based on data you enter.
Provixaa complements — and does not replace — execution tools or finance and accounting systems. You remain responsible for the accuracy of project, financial, and resource data entered into the Service.
Evaluation or trial workspaces may include sample or illustrative data. Insights in production depend on the accuracy and completeness of your live data and configuration.
We may modify, suspend, or discontinue features with reasonable notice where practicable. We do not guarantee uninterrupted availability; maintenance and third-party hosting may affect access.
3. Informational use only — no professional advice
Dashboards, metrics, classifications, forecasts, benchmarks, and AI outputs (including Aria) are for informational and operational support only.
They are not financial, accounting, audit, tax, legal, or investment advice, and are not a substitute for your own professional judgment, internal controls, or client commitments.
You remain solely responsible for business, billing, staffing, and compliance decisions.
4. AI features
AI-generated content may be incomplete, outdated, or incorrect. You must review outputs before acting on them.
Do not rely on AI for regulated or high-stakes decisions without appropriate human oversight.
5. Your data and responsibilities
You retain ownership of data you submit. You grant us a limited license to host, process, back up, and display it solely to provide and secure the Service, as described in our Privacy Policy.
You are responsible for the accuracy, legality, and rights to use all data you upload, including project, financial, and personnel information.
You control who you invite and how roles are assigned. We are not liable for access granted by your administrators or misuse within your organization.
6. Acceptable use
You will not misuse the Service: no unlawful content, infringement of others' rights, unauthorized access attempts, reverse engineering except where law permits, scraping at scale, resale without agreement, or activity that harms the platform or other users.
We may suspend or terminate access for breach, security risk, or non-payment where applicable.
7. Fees and subscriptions
Provixaa is sold per governed project per month (Launch Trial, Core Governance, Predictive Intelligence, Aria Intelligence) as described on our pricing page. Listed prices exclude GST; applicable GST is added on your invoice unless stated otherwise in writing.
Plan upgrades and renewals may require approval through our admin workflow. There is no self-serve payment gateway in the current release; activation dates are set when your request is approved.
When a paid project plan expires without renewal, the project may enter dashboard-only mode (read-only dashboards; mutating features blocked) until renewal is approved.
Unless we state otherwise in writing or applicable law requires otherwise, fees are non-refundable after a billing period has started. Cancellation typically stops renewal for the next period while access continues through the current paid period.
Free evaluation access (Launch Trial) is limited in duration, projects, users per project, and features and may be changed or withdrawn.
8. Intellectual property
We own the Service, software, branding, and documentation. These Terms do not transfer ownership of our intellectual property to you.
Feedback you provide may be used to improve the Service without obligation to you.
9. Disclaimer of warranties
The Service is provided "as is" and "as available" to the fullest extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.
Our total aggregate liability arising from or related to the Service is limited to the greater of (a) fees you paid us for the Service in the twelve (12) months before the claim, or (b) INR 10,000 (or equivalent in your billing currency) if you used a free or evaluation tier.
Nothing in these Terms limits liability where law does not allow such limitation (for example, fraud or willful misconduct).
11. Indemnification
You will defend and indemnify us against third-party claims arising from your data, your use of the Service, violation of these Terms, or violation of law, except to the extent caused by our gross negligence or willful misconduct.
12. Termination
You may stop using the Service and request account closure subject to our data retention practices in the Privacy Policy.
We may terminate or suspend access for material breach or as required by law. Provisions that by nature should survive (limitations, indemnity, governing law) survive termination.
13. Changes to these Terms
We may update these Terms by posting a new version and updating the version date. Material changes will be communicated via the Service or email where appropriate. Continued use after the effective date constitutes acceptance, or we may require re-acceptance for material changes.
14. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law rules. Disputes are subject to the exclusive jurisdiction of courts at Bengaluru, Karnataka, India, unless mandatory law provides otherwise.
